You must beat least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to place an order. By ordering, you represent that you meet these requirements and that all information you provide is accurate and current.
2.1 Descriptions. We make reasonable efforts to describe and display Products accurately, including specifications, images, and intended use. Colors, packaging, and minor formulation details may vary from images shown.
2.2 Intended Use. Flavored drink mix to be diluted in water. Intended for human consumption. For personal use only; not for retail sale or further distribution. Products must not be used for any purpose other than as described on the Product label or Site. You are responsible for determining whether a Product is suitable for your intended use.
2.3 Not Medical Advice. Nothing on the Site constitutes medical, dietary, or professional advice. Statements about Products have not been evaluated by the U.S. Food and Drug Administration unless otherwise stated, and no Product is intended to diagnose, treat, cure, or prevent any disease. Consult a qualified professional before using any Product if you have a medical condition, are pregnant or nursing, or are uncertain about proper use.
2.4 Availability. All Products are subject to availability. We reserve the right to limit quantities, discontinue a Product, or refuse any order at our discretion.
3.1 Placing an order is an offer to purchase. We may accept or decline any order for any reason, including pricing errors, suspected fraud, or unavailability of stock.
3.2 A contract is formed only when we send you an order confirmation email or otherwise confirm shipment. Until then, we may cancel or adjust an order, and you will be refunded in full for any cancelled items.
3.3 We reserve the right to limit order quantities per customer or household.
4.1 All prices are listed in US dollars and are subject to change without notice, that changes will not affect orders already confirmed.
4.2 Prices exclude applicable taxes, duties, and shipping fees unless stated otherwise; these will be shown at checkout before you complete your purchase.
4.3 Payment is due in full at the time of order. We accept the payment methods listed at checkout. You represent that any payment method you use is one you are authorized to use.
4.4 In the event of a pricing or listing error, we reserve the right to cancel any affected order, refund any amount paid, and notify you of the error.
5.1 Estimated delivery times are provided for convenience and are not guaranteed. Risk of loss and title to Products pass to you upon delivery to the carrier, but we remain responsible for Products lost or damaged in transit until you receive them, except where caused by an error in shipping information you provided.
5.2 You are responsible for providing an accurate delivery address. Additional charges resulting from an incorrect address are your responsibility.
5.3 Some Products may require special handling, temperature control, or storage conditions during shipping (e.g., cold-chain). We will identify any such requirements on the Product page. Please follow all storage instructions immediately upon receipt — improper storage after delivery may void the warranty in Section 8.
5.4 We currently ship only within the United States (including U.S. territories where noted at checkout). We do not accept international orders.
6.1 Order Cancellation. You may cancel an order at no charge any time before it ships by contacting orders@bactolife.com. Once an order has shipped, it is subject to the return policy below. (Note: unlike some other countries, U.S. federal lawdoes not generally grant online purchasers an automatic statutory right to cancel a completed order — the return policy below is our voluntary policy, subject to Section 6.5.)
6.2 Return Policy. Because binding proteins are perishable, require special storage, and may degrade or become unsafe once a seal is broken, we accept returns only if: (a) the Product's seal is unbroken and the Product is in its original, unopened condition, and (b) you contact us within [14] days of delivery to request a Return Merchandise Authorization ("RMA"). Opened, used, or improperly stored Products cannot be returned, except as provided in Section 6.3.
6.3 Damaged, Defective, or Incorrect Items. If a Product arrives damaged, defective, or different from what you ordered, contact us within [7] days of delivery withyour order number and photos of the issue. We will, at our option, replace the Product or issue a full refund, including reasonable return shipping costs. This right is not affected by whether the seal has been broken.
6.4 Return Process. Approved returns must include a valid RMA and be shipped back in accordance with the instructions we provide, including any required packaging or temperature-control measures. Refunds will be issued to your original payment method within [10] business days of our receiving and inspecting the returned Product. Original shipping charges are non-refundable except where the return is due to our error or a defective Product.
6.5 State Law. Some states (e.g., California) impose specific requirements on retailers' return-policy disclosures or provide additional consumer remedies. Nothing in this Section limits any non-waivable right you have under the law of your state of residence.
7.1 You are solely responsible for storing, handling, and using Products in accordance with the instructions provided on the label, packaging, or Safety Data Sheet ("SDS"), where applicable.
7.2 Binding proteins may require refrigeration, protection from light, or other special handling. Failure to follow storage instructions may cause the Product to degrade or become unsafe, and we are not responsible for any resulting harm, loss, or reduced efficacy.
7.3 If a Product includes an SDS or hazard information, you agree to review it before use and to use appropriate protective equipment and handling procedures.
8.1 We warrant that, at the time of delivery, each Product will (a) conform to the specifications stated on the Site or accompanying documentation, and (b) be free from material defects, when properly stored and used in accordance with our instructions.
8.2 This warranty does not cover damage or non-conformance caused by improper storage, handling, or use after delivery, or by combination with other substances or materials.
8.3 If a Product does not conform to this warranty, your sole remedy is a replacement or refund as described in Section 6.3, at our option.
8.4 Except for this express warranty, Products are provided "as is," and we disclaim all other warranties, whether express or implied, including implied warranties of merchant ability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted under the Uniform Commercial Code and other applicable law. Some states do not allow the exclusion or limitation of implied warranties, so this limitation may not fully apply to you, in which case any implied warranty is limited to the shortest duration permitted by law.
9.1 To the maximum extent permitted by law, our total liability arising out of or related to your purchase of a Product will not exceed the amount you paid for that Product.
9.2 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your purchase or use of a Product.
9.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or willful misconduct, or liability under applicable state product liability law. Some states do not allow certain limitations on liability, so some of the limitations in this Section may not apply to you.
10.1 Trademarks."Helm," the Helm logo, and any other Bactolife A/S brand names, trademarks, or logos (collectively, the "Marks") are the property of Bactolife A/S. Nothing in these Terms grants you any right or license to use the Marks, except that you may refer to the Marks accurately to describe or discuss the Product you purchased (e.g., in a personal, non-commercial review).
10.2 You will not: (a) use the Marks in a way that implies sponsorship, endorsement, or affiliation not authorized by us; (b) register or attempt to register the Marks or any confusingly similar name or mark; or (c) use the Marks on or in connection with any product other than a genuine Helm Product purchased from us.
10.3 Site Content. All other content on the Site — including product descriptions, text, graphics, and images — is owned by or licensed to Bactolife A/S and isprotected by intellectual property laws. You may not copy, reproduce, or create derivative works from Site content without our prior written consent, except as necessary to make and track a personal order.
You agree not to: (a) use a Product for any unlawful purpose or in violation of any applicable regulation; (b) resell, redistribute, or repackage Products for commercial purposes without our prior written consent; (c) misrepresent your identity or provide false information when ordering; or (d) use the Site in any way that could damage, disable, or impair it.
Our collection and use of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
We may update these Terms from time to time. The version in effect at the time you place an order will govern that order. Material changes will be posted on the Site with an updated "Last Updated" date.
14.1 These Terms are governed by the laws of the State of [State], without regard to conflict-of-law principles.
14.2 Informal Resolution. Before filing a claim, you agree to contact us at orders@bactolife.com so we can attempt to resolve the dispute informally within 30 days.
14.3 Arbitration Agreement. Any dispute not resolved informally will be resolved by binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. You and Bactolife A/S each waive the right to a jury trial and to participate in a class action.
14.4 If the arbitration agreement is found unenforceable, or for any claim not subject to it, disputes will be brought exclusively in the state or federal courts located in [County, State], and both parties consent to personal jurisdiction there.
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, labor disputes, or supply chain disruptions.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be replaced with one that most closely reflects its original intent, to the extent permitted by law.
These Terms, together with our Privacy Policy and any Product-specific documentation, constitute the entire agreement between you and Bactolife A/S regarding your purchase and supersede any prior agreements.
